Welcome to Opaius. By accessing or using our platform, you agree to the following Terms of Service. Please read them carefully.

Use of the Platform

Opaius provides tools to help users monitor product quality, track parts, manage tasks, and prevent defects. You may only use our platform for lawful, authorized purposes and in accordance with these terms.

User Accounts

You are responsible for maintaining the confidentiality of your login credentials and any activity that occurs under your account. If you believe your account has been compromised, please contact us immediately.

Subscription & Billing

Access to certain features may require a paid subscription. By subscribing, you agree to our billing terms. We reserve the right to modify pricing or features at any time with advance notice.

Paid Subscriptions
Access to certain features requires a paid subscription. Available plans include:
- Starter: For small teams getting started
- Team: For growing teams with advanced needs
- Pro: For organizations requiring enterprise features
- Enterprise: Custom solutions with dedicated support

Billing Terms
- Subscriptions are billed monthly or annually based on your selected plan
- Payment is charged in advance at the beginning of each billing period
- All fees are non-refundable except as required by law
- Your subscription will automatically renew unless you cancel before the renewal date

Payment Methods
We accept major credit cards and ACH payments (for annual plans). All payment processing is handled securely through Stripe.

Failed Payments
If a payment fails:
1. We will attempt to charge your payment method multiple times
2. You will receive email notifications about the failed payment
3. Your access may be suspended if payment is not received within 7 days
4. Your account may be canceled if payment issues are not resolved within 30 days

Subscription Changes
- Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of your billing period
- Downgrades: Take effect at the start of your next billing period. No refunds are provided for the current period
- Cancellations: You retain access until the end of your current billing period. No refunds are provided

Price Changes
We reserve the right to modify our pricing at any time.
For existing subscribers:
- We will provide at least 30 days advance notice of any price increases
- Price increases will take effect at your next renewal date
- You may cancel your subscription before the price increase takes effect

Taxes
Prices do not include applicable taxes. You are responsible for all sales, use, and similar taxes. We will collect these taxes if required by law.

Usage Limits & Overage Billing

Plan Limits
Each subscription plan includes usage limits for:

- Team seats (active users)
- Active loops (workflow instances)
- Active assets (tracked items)
- Storage capacity (in GB)
- AI requests per month
- Active collaborations

Your current limits are displayed in your account dashboard under Settings → Usage.

Overage Charges
When you exceed your plan's included limits, additional charges apply at the following rates:

- Storage: $0.10 per GB over limit per month
- Team Seats: $15 per additional user per month
- AI Requests: $0.001 per request over limit
- Loops: $2 per additional loop per month
- Assets: $1 per additional asset per month
- Collaborations: $5 per additional collaboration per month

How Overage Billing Works
1. Calculation: Overages are calculated at the end of each billing period based on your actual usage
2. Notification: You will receive an email notification detailing any overage charges before they are applied
3. Billing: Overage charges are added to your next subscription invoice and charged to your payment method on file
4. Transparency: You can view your current usage and projected overage costs at any time in Settings → Usage

Overage Billing Control
You control whether overage billing is enabled for your organization in Settings → Billing: - Enabled (default): You will be charged for usage over your plan limits, allowing uninterrupted access to the platform
- Disabled: Access to certain features will be restricted when you reach your plan limits. You will need to upgrade your plan or reduce usage to continue

Note: Free tier users cannot enable overage billing and must upgrade to a paid plan to exceed free tier limits.

Payment Authorization
By subscribing to a paid plan with overage billing enabled, you authorize Opaius to charge your payment method on file for:
- Your subscription fee
- Any applicable overage charges calculated according to the rates above
- Taxes, if applicable

You can disable overage billing at any time in your billing settings. Changes take effect at the start of your next billing period.

Intellectual Property

All content, software, and trademarks on this site are owned by Opaius or its licensors. You may not copy, distribute, or reverse-engineer any part of the platform without written permission.

Data Usage

By using Opaius, you grant us permission to store and process your data in accordance with our Privacy Policy. We do not sell your data and will only use it to provide and improve our services.

Data Retention & Account Deletion

Active Accounts
While your account is active, we retain all data necessary to provide our services, including:
- User profile information
- Organization data
- Loops, assets, and workflow data
- Usage history and billing records
- Support communications

Account Cancellation
When you cancel your subscription:
- Your access to paid features ends at the end of your current billing period
- Your data is retained for 90 days to allow for reactivation
- After 90 days, your data may be permanently deleted unless required for legal or billing purposes

Account Deletion
You may request complete account deletion by contacting admin@opaius.com. Upon deletion:
- Your account access is immediately terminated
- Your personal data is permanently deleted within 30 days
- We retain billing records and transaction history as required by law (typically 7 years)
- Aggregated, anonymized usage data may be retained for analytics purposes

Data Export
Before canceling or deleting your account, you may request an export of your data. Contact admin@opaius.com with your request. Data exports are provided in standard formats (JSON, CSV) within 30 days.

Acceptable Use Policy

You agree not to use Opaius to:

Prohibited Activities
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Engage in any activity that disrupts or interferes with the platform
- Use the platform for any illegal, harmful, or fraudulent purpose
- Scrape, data mine, or automatically extract data without permission
- Resell or redistribute access to the platform without authorization

Enforcement
Violations of this Acceptable Use Policy may result in:
- Immediate suspension or termination of your account
- Removal of offending content
- Notification to law enforcement if required
- Legal action to recover damages

We reserve the right to investigate suspected violations and cooperate with law enforcement authorities.

Termination

We may suspend or terminate your access at any time for violating these terms, or if necessary to protect the platform or other users. You may also cancel your account at any time.

Limitation of Liability

Service Availability
Opaius is provided "as is" and "as available." While we strive for high availability:
- We do not guarantee uninterrupted or error-free service
- Scheduled maintenance may temporarily limit access
- We are not liable for service interruptions beyond our reasonable control

Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAIUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages
IN NO EVENT SHALL OPAIUS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the platform
- Damages exceeding the amount you paid to Opaius in the 12 months preceding the claim

Exceptions
Some jurisdictions do not allow certain limitations of liability. If these laws apply to you, some or all of the above limitations may not apply.

Your Responsibilities
You are solely responsible for:
- Your use of the platform and any content you create
- Ensuring your use complies with applicable laws and regulations
- Maintaining adequate backups of your data
- Security of your account credentials

Dispute Resolution

We reserve the right to update these Terms of Service at any time. If changes are made, we will notify users and update the effective date above.

Informal Resolution
Before filing a claim, please contact us at admin@opaius.com to attempt to resolve the dispute informally. We commit to working in good faith to reach a mutually acceptable resolution.

Binding Arbitration
If we cannot resolve a dispute informally within 60 days, you agree that the dispute will be resolved through binding arbitration rather than in court, except for:
- Small claims court disputes
- Intellectual property disputes
- Disputes seeking injunctive relief

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Sheridan, Wyoming.

Class Action Waiver
You agree to resolve disputes with Opaius on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law
These Terms are governed by the laws of Wyoming, United States, without regard to conflict of law principles.

Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Changes to These Terms

We reserve the right to update these Terms of Service at any time. If changes are made, we will notify users and update the effective date above.

Modification Rights
We reserve the right to update these Terms of Service at any time. When we make changes:
- We will update the "Last Updated" date at the top of this page
- For material changes, we will notify you via email at least 30 days in advance
- For minor changes (typos, clarifications), we may not provide advance notice

Your Acceptance
Your continued use of Opaius after changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms:
- You may cancel your account before the changes take effect
- You will not be entitled to a refund for any prepaid fees
